Terms of Service

These Terms constitute a legally binding agreement between you ("User," "you") and FieldPhoto Connect. By accessing or using the Platform — whether as a BPO field agent ("Agent"), a field photographer ("Photographer"), or a visitor — you confirm that you are at least 18 years old, have the legal capacity to enter into contracts, and agree to these Terms in full.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

FieldPhoto Connect is a managed marketplace that connects BPO field agents who need exterior and interior property photographs with independent field photographers who fulfill those assignments. The Platform provides:

• Order placement and management tools for Agents
• Job discovery, acceptance, and photo submission tools for Photographers
• Quality control review of submitted photographs
• Payment processing and payout management
• Coverage area management and assignment routing

FieldPhoto Connect acts as a marketplace intermediary. We do not employ Photographers and are not responsible for the independent judgment, actions, or omissions of any Photographer or Agent on the Platform.

To use the Platform you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must not:

• Share your account credentials with any third party
• Create more than one account per person or entity
• Register using false or misleading information
• Use another person's account without their explicit permission

You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these Terms.

As an Agent, you may place orders for property photographs through the Platform. By placing an order you agree that:

• You have the authority to commission photographs of the specified property
• The property address and order details you provide are accurate
• You will use delivered photographs only for lawful BPO, appraisal, or related real estate purposes
• You will not resell, sublicense, or redistribute photographs to third parties without our written consent
• Payment is due at the time of order placement or as otherwise agreed in writing

Orders are fulfilled on a best-efforts basis within the stated delivery window. FieldPhoto Connect does not guarantee delivery times and is not liable for delays caused by weather, inaccessible properties, or other circumstances outside our control.

If delivered photographs do not meet the quality standards described in Section 8, you may request a reshoot within 48 hours of delivery. Refunds are issued at our sole discretion and only where a reshoot cannot be completed.

Photographers are independent contractors, not employees, agents, or partners of FieldPhoto Connect. By accepting assignments through the Platform you agree that:

• You are solely responsible for your own taxes, insurance, and compliance with applicable laws
• You will complete accepted assignments within the stated time window
• You will follow the shot list and quality guidelines provided with each order
• You will not submit photographs taken at a different property or on a different date than specified
• You grant FieldPhoto Connect a non-exclusive, royalty-free license to deliver your submitted photographs to the ordering Agent
• You will not contact Agents directly outside the Platform to solicit or fulfill orders

Photographers who consistently fail quality reviews, miss deadlines, or violate these Terms may have their accounts suspended or permanently removed from the Platform.

Agents: Order prices are displayed at checkout and are charged to your payment method at the time of order placement. All prices are in USD. Taxes, if applicable, are added at checkout.

Photographers: Earnings are credited to your Platform account upon quality approval of a submitted order. You may request a payout at any time once your balance meets the minimum threshold. Payouts are processed via ACH bank transfer, PayPal, or Stripe within two (2) business days of approval. FieldPhoto Connect retains a platform fee as disclosed in your Photographer agreement; the net amount credited to your account reflects this deduction.

We reserve the right to withhold or reverse payments in cases of fraud, policy violations, or disputed orders. All payment disputes must be submitted within 30 days of the transaction date.

Photographers retain copyright in photographs they take. By submitting photographs through the Platform, Photographers grant FieldPhoto Connect a limited, non-exclusive, royalty-free license to store, process, quality-review, and deliver those photographs to the ordering Agent. Agents receive a limited license to use delivered photographs for the BPO or real estate purpose stated in the order.

All other content on the Platform — including the FieldPhoto Connect name, logo, software, design, and documentation — is owned by or licensed to FieldPhoto Connect and may not be copied, modified, or distributed without our prior written consent.

All submitted photographs are reviewed by our quality control team before delivery. Photographs must meet the following minimum standards:

• In focus and properly exposed — no blurry, dark, or overexposed images
• Correct property — the address on the order must match the photographed property
• Required angles captured — all shots specified in the order's shot list must be present
• No obstructions — vehicles, people, or objects should not block the primary subject where avoidable
• Accurate date — photographs must be taken on or after the order acceptance date

Photographs that fail quality review are returned to the Photographer with specific feedback. Photographers have one opportunity to reshoot and resubmit within the original delivery window. Repeated quality failures may result in account suspension.

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party right
• Submit fraudulent, fabricated, or misrepresented photographs or order information
• Circumvent the Platform to transact directly with other users outside of FieldPhoto Connect
• Reverse-engineer, scrape, or otherwise extract data from the Platform without authorization
• Introduce malware, viruses, or any harmful code
• Harass, threaten, or abuse other users or Platform staff
• Create fake accounts or impersonate any person or entity
• Use the Platform for any purpose other than its intended BPO photography marketplace function

You may close your account at any time by contacting [email protected]. Outstanding balances owed to Photographers will be paid out within 14 business days of account closure, subject to any pending quality reviews or disputes.

FieldPhoto Connect may suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to access the Platform ceases immediately.

Sections 7 (Content & Intellectual Property), 11 (Disclaimers & Limitation of Liability), and 12 (Dispute Resolution) survive termination.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

FIELDPHOTO CONNECT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELDPHOTO CONNECT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FIELDPHOTO CONNECT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

IN NO EVENT SHALL FIELDPHOTO CONNECT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify registered users by email or in-platform notice at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform and may close your account as described in Section 10.
